The French investment firm converts half of its convertible notes investment into equity at EUR 18 per share, reinforcing its position alongside its commitment to participate with EUR 1 million in the capital increase.

New financial boost for Cuatroochenta's growth strategy. After securing commitments worth EUR 4.9 million for its capital increase, the technology group has added the conversion into shares of EUR 1 million in convertible notes by Eiffel Investment Group, one of the investors that backed that capital increase. Both transactions were closed at the same price: EUR 18 per share.

The French investment firm, through its funds FCPI ALTO Innovation 2021 and FCPI ALTO Innovation 2023, has converted into equity half of the convertible notes it subscribed for in 2025. The transaction involves 55,556 notes, with a combined nominal value of EUR 1,000,008. As the Company reported to BME Growth, the Board of Directors has approved the conversion, which will result in the issuance of 55,556 new shares.

The conversion price was set in the original agreement of March 2025, 31% above the share price on the date of signing.

From creditor to shareholder

With this conversion, EUR 1 million previously recorded on the balance sheet as a liability becomes part of the Company's equity. Cuatroochenta thus reduces its indebtedness and the associated finance costs, and strengthens its capital structure to pursue its next inorganic growth transactions.

Eiffel's decision to remain in the Company as a shareholder, rather than recover its investment, reflects the confidence of an international institutional investor in Cuatroochenta's growth trajectory.

Once the conversion has been executed, the Company will apply for admission to trading of the new shares on BME Growth.

Eiffel consolidates its commitment to Cuatroochenta

Eiffel entered Cuatroochenta in March 2025 with an investment of EUR 2 million in four-year convertible notes, becoming the Company's first international institutional investor. Under an agreement that allowed it to convert its position into shares from day one, that transaction was structured to finance the Group's M&A strategy.

Eiffel is also among the investors committed to the capital increase, which will be carried out through the issuance of 273,236 new shares and in which three Valencian family offices are also participating. With both transactions, the French investment firm strengthens its presence in the Company's shareholding structure.

«Eiffel's conversion, at the same price as the capital increase, consolidates an international institutional investor as a shareholder and backs our business model and strategic plan. In addition, we are reducing debt and finance costs, and we are approaching our next M&A transactions with a stronger capital structure»
